Kimberly B. Greaves, JD MPH
Kimberly is a seasoned healthcare attorney with more than two decades of healthcare experience. She has represented healthcare providers and related healthcare entities of all sizes and complexities. Kimberly's experience includes:
Mergers and acquisitions
Joint Ventures
Sales of physician practices
Drafting of corporate bylaws, shareholder agreements, and operating agreements
Employment agreements and employment law counseling
Marketing and distribution agreements
Patient privacy and security laws
Compliance with state and federal healthcare laws and regulations, including Stark, Anti-Kickback, False Claims, and Medicare and Medicaid.
Consulting with regard to Medicare and Medicaid reimbursement issues
State certificate of need laws
Because of her unique background and legal experience, Kimberly understands the BUSINESS of healthcare--beyond the typical transactional lawyer's understanding of the mechanics and legalities of deals. Serving for more than 5 years as general counsel for a healthcare care technology company that provided information support data analytics to physician practices and health plans for quality improvement, medical home and pay for performance initiatives, Kimberly learned first hand the practical reality of running a business. Many lawyers don't understand what it's really like to run a business day to day. It's easy for us to tell our clients how you "ideally" handle something, but often lawyers don't really understand the other business or financial considerations a company's management team may be facing. Kimberly has been "in the trenches" and can relate to the balance her client is trying to strike between often complex and sometimes incongruent business needs.
Through her long-term representation as inside and outside counsel of healthcare entities, she has gained depth of experience in most aspects of the representation of healthcare businesses, including entity formation, financing, regulatory governance, development, marketing and distribution arrangements, intellectual property protection, licensing agreements, systems integration agreements, internet and new technology issues, joint venture arrangements, mergers and acquisitions and employment and non-competition agreements. Kimberly is also deeply steeped on the healthcare provider services side, having represented providers ranging from solo practitioners to large multi-speciality practices, hospitals, dental practices, and physician organizations.
Representative clients include healthcare providers (physicians and physician practices, including hospital-based physicians, specialty and subspecialty medical practices, primary care practices, regional hospitals), independent physician associations (IPAs), practice management companies, and healthcare technology companies.
